3.2 Account Registration

● One person or entity may not maintain multiple accounts without our prior written consent 3.3 Account Verification We reserve the right to verify your credentials and suspend or terminate accounts that cannot be verified or that violate these Terms.

4. Acceptable Use Policy

5. User Content and Data

5.1 Your Content

You retain ownership of all content and data you provide through our Services ("Your Content"). By using our Services, you grant us a limited, non-exclusive, royalty-free license to process Your Content solely to provide our Services.

6. Business Associate Agreement

When you use our Services to process protected health information (PHI), a separate Business Associate Agreement (BAA) will govern our handling of PHI. The BAA is incorporated by reference into these Terms.

7. Subscription and Payment Terms

7.1 Subscription Plans

Our Services are offered through various subscription plans with different features and pricing. Plan details are available on our website or through our sales team.

7.2 Payment Terms

● Subscription fees are billed in advance according to your selected plan

● Payments are due within 30 days of invoice date unless otherwise agreed

● Late payments may incur additional fees and service suspension

● All fees are non-refundable except as expressly stated

We may modify subscription prices with 30 days' written notice. Changes will take effect at your next renewal period.

7.4 Taxes

10. Service Availability and Support

11. Limitation of Liability

11.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FLOWLINE HEALTH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Maximum Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE CLAIM.

11.4 Healthcare Disclaimer

OUR SERVICES ARE TECHNOLOGY TOOLS AND DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. WE ARE NOT RESPONSIBLE FOR MEDICAL DECISIONS OR PATIENT OUTCOMES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Flowline Health and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

● Your use of the Services

● Your violation of these Terms

● Your violation of applicable laws or regulations

● Any content or data you provide through the Services

● Any third-party claims related to your use of the Services

13. Termination

13.1 Termination by You

You may terminate your account at any time by providing written notice. Termination will be effective at the end of your current billing period. 13.2 Termination by Us We may terminate or suspend your account immediately if you:

● Violate these Terms or our policies

● Fail to pay fees when due

● Engage in fraudulent or illegal activities

● Pose a security risk to our Services or other users

13.3 Effect of Termination Upon termination:

● Your access to the Services will cease

● You remain liable for all charges incurred

● We may delete your account data according to our data retention policies

● Surviving provisions of these Terms will remain in effect

13.4 Data Retrieval You may request export of your data within 30 days of termination, subject to applicable laws and regulations.

14. Dispute Resolution

14.1 Governing Law These Terms are governed by the laws of Delaware without regard to conflict of law principles.

14.2 Arbitration Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except for claims that may be brought in small claims court.

14.3 Class Action Waiver You agree that any arbitration or legal proceeding shall be limited to the dispute between you and Flowline Health individually. You waive any right to participate in class action lawsuits or class-wide arbitrations.

15. Compliance and Regulatory Requirements

15.1 Healthcare Regulations You acknowledge that healthcare services are subject to extensive regulation and agree to:

● Maintain all required licenses and certifications

● Comply with HIPAA, HITECH, and applicable state laws

● Follow professional standards and ethical guidelines

● Obtain necessary patient consents and authorizations

15.2 Security Requirements

You agree to implement appropriate administrative, physical, and technical safeguards to protect patient information and maintain the security of our Services. 15.3 Breach Notification You must promptly notify us of any suspected security incidents or breaches involving our Services.

16. Force Majeure

We shall not be liable for any delay or failure to perform due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Business Associate Agreement, constitute the entire agreement between you and Flowline Health.

17.2 Amendments We may modify these Terms at any time by posting updated terms on our website. Material changes will be communicated via email or platform notification. Continued use constitutes acceptance of modified terms.

17.3 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.4 Assignment You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

17.5 No Waiver Our failure to enforce any provision does not constitute a waiver of our rights to enforce such provision in the future.

17.6 Survival Provisions that by their nature should survive termination will survive, including intellectual property rights, limitation of liability, and indemnification.
